Update on Company Secretary Dealing, Cancellation of Issue of Equity and Total Voting
Rights update
LONDON, 30 JUNE 2022


Further the Company’s announcement earlier today, pursuant to which shareholders were advised
that Gemfields had issued and allotted 1,391,000 new ordinary shares of USD0.00001 each in the
Company ("Ordinary Shares") following the exercise of share options by Toby Hewitt, Gemfields’
Company Secretary and General Counsel, shareholders are advised that Toby Hewitt has cancelled
his share options exercise and accordingly the Company has cancelled the issue and allotment of
1,391,000 new Ordinary Shares.

The applications made for the new Ordinary Shares to be admitted to trading on AIM and the JSE,
both of which were expected to occur on or around 1 July 2022, have been cancelled.

Shareholders are advised that there are 1,183,356,037 Ordinary Shares in issue with each Ordinary
Share carrying the right to one vote. This is also the total voting rights figure which may be used
by shareholders as the denominator for the calculations by which they can determine whether they
are required to notify their interests in, or a change to their interest in the Company.
