NOTICE OF ANNUAL GENERAL MEETING
Shareholders are advised that the notice of the 2022 annual general meeting of NEPI Rockcastle’s shareholders (the “AGM”) was
distributed today, Friday, 29 April 2022.
The AGM will be held at the Company’s registered office, being 2 nd Floor, 30 Athol Douglas, Isle of Man, IM1 1JB on
Wednesday, 24 August 2022 at 8:30am British Summer Time/9:30am South African Standard Time, for shareholders to consider
and, if deemed fit, pass with or without modification, the resolutions as set out in the AGM notice.
The record date to be recorded in the shareholder register in order to be entitled to vote at the AGM is Friday, 19 August 2022. A

IMPORTANT INFORMATION REGARDING THE MIGRATION OF THE COMPANY FROM THE ISLE OF MAN
The board of directors of NEPI Rockcastle notes that all resolutions tabled at the extraordinary general meeting held in the Isle of
Man on Thursday, 28 April 2022, approving the migration of the Company from the Isle of Man to Luxembourg (and thereafter to
the Netherlands), were passed by the requisite majority of NEPI Rockcastle shareholders. Should all resolutions tabled at the
extraordinary general meeting to be held on Tuesday, 10 May 2022 be similarly passed, and the migration of the Company from the
Isle of Man to Luxembourg thus duly effected on 10 May 2022, a revised notice of annual general meeting of NEPI Rockcastle,
convened in terms of Luxembourg law and replacing the AGM notice distributed today in its entirety, will be issued.
