CAPITAL DISTRIBUTION TO SHAREHOLDERS
On 20 September 2021 shareholders were advised that Ulundi Holdings Proprietary Limited had disposed of
8 933 166 ordinary shares in the share capital of Sygnia pursuant to the unwinding of the Sygnia-sponsored broad-
based employee share scheme established in 2013. Following this unwinding and the return of the original amount
advanced, Sygnia is in a position to return capital to its shareholders.
Shareholders are accordingly hereby advised that the board of directors of the company ("the Directors") has
declared a capital distribution of 48.00 cents per share as a return of contributed tax capital to the shareholders of
the company ("the distribution").
No dividend withholding tax is applicable as the distribution is paid out of capital reserves. As the distribution will be
regarded as a return of capital and may have potential capital gains tax consequences, shareholders are advised
to consult their tax advisors regarding the impact of the distribution.
In compliance with the JSE listings requirements, the following dates are applicable:
Last day to trade to: Tuesday, 12 October 2021
Shares trade ex-distribution: Wednesday, 13 October 2021
Record date: Friday, 15 October 2021
Payment date: Monday, 18 October 2021
Share certificates may not be dematerialised or rematerialised between Wednesday, 13 October 2021 and Friday,
15 October 2021, both dates inclusive.
