CHANGES TO DIRECTORS' INTERESTS
Today, Bob van Dijk and Basil Sgourdos will notify the Stichting Autoriteit Financiële
Markten (AFM) about the offers of an option to purchase shares made by the Prosus N.V.
Share Option Plan and offers of performance share units by the Prosus N.V. Share Award
Plan.
The offers of an option to purchase shares by the Prosus N.V. Share Option Plan were
made at market value on 26 August 2021 at €71.61, being the closing price on the
Euronext Amsterdam on trading day immediately preceding the offer. The offers were
accepted by Bob and Basil on 30 August 2021. The first quarter of the options vest on 26
August 2022, the second quarter vests on 26 August 2023, the third quarter vests on 26
August 2024 and the final quarter vests on 26 August 2025.
The offers of performance stock units by the Prosus N.V. Share Award Plan to Bob and
Basil were made on 26 August 2021. The offers were accepted on 30 August 2021. Vesting
of PSUs, and the exact quantum thereof, is subject to the achievement of performance
conditions set out in the remuneration report included in the annual report on page 140.
The PSU options are expected to vest on or about 26 August 2024.
