STRUCTURED EQUITY HEDGE TRANSACTION

Shareholders are advised that with effect from 20 November 2025, Brait has entered into a structured equity hedge
transaction with the Standard Bank of South Africa Limited in respect of 4,746,835 Premier Group Limited ("Premier")
ordinary shares ("Hedging Shares") (the "Transaction"). The Transaction ensures that Brait has no downside risk on
the Hedging Shares below a Premier share price of R166.69 and allows Brait to benefit from any Premier share price
appreciation above that level up to an average of R186.16 per share on the Hedging Shares.

Once the Transaction is complete, Brait's economic interest in Premier will reduce from 32.3% to 28.7%. The
Transaction was concluded based on inbound institutional interest and Brait does not intend for the foreseeable
future to conclude other equity hedge transactions and / or market placements of its shareholding.
