CHANGE IN LEAD INDEPENDENT DIRECTOR AND APPOINTMENT TO THE INVESTMENT COMMITTEE

In compliance with paragraph 6.71(c) of the JSE Limited Listings Requirements, Northam Holdings hereby announces
that Mr Wouter André Hanekom has been appointed as the Lead Independent Director of Northam Holdings, succeeding
Ms Hester Helena Hickey, with effect from 25 August 2026. Mr Hanekom has also been appointed as a member of the
Investment Committee with effect from the same date.

The board of directors of Northam Holdings (“board”) extends its sincere appreciation to Ms Hickey for her valuable
leadership and contribution during her tenure as Lead Independent Director and wishes Mr Hanekom well in his new
roles. Ms Hickey will remain on the board as an Independent Non-Executive Director.
