VOLUNTARY ANNOUNCEMENT: EXXARO EXERCISES ITS PRE-EMPTIVE RIGHT AND AGREES TO THE SUBSEQUENT
DISPOSAL OF ITS ENTIRE INTEREST IN MORANBAH SOUTH PROJECT

Shareholders are hereby advised that Exxaro, through its wholly owned subsidiary, Exxaro
Australia (Pty) Ltd (“Exxaro Australia”) has exercised its pre-emptive right in respect of the
Moranbah South Project (“Moranbah South”), following an offer received from Anglo American
Plc (“Anglo American”) for its 50% interest in Moranbah South (the “Pre-emptive Acquisition”),
in connection with Anglo American’s agreed disposal of its steel making coal assets in Australia
to Dhilmar QLD (Pty) Ltd.

Exxaro Australia currently holds a 50% participation interest in Moranbah South. Following
implementation of the Pre-emptive Acquisition, Exxaro Australia will hold a 100% interest in
Moranbah South.

Exxaro has agreed with Stanmore Resources Limited (“Stanmore”), following the completion
of the acquisition of a 100% interest in Moranbah South, to dispose of its entire interest in
Moranbah South, for a purchase consideration of US$105 million (the “Disposal”). The
Disposal will result in Stanmore holding 100% interest in Moranbah South.

“We outlined at our Capital Markets Day, a clear path to accelerate the disciplined execution
of our strategy, including crystalising our portfolio into three distinct pillars of our established
South African coal business, renewable energy and future-facing metals for long-term value
creation. As part of this strategy, we showed our investment in Moranbah South as non-core.

This transaction is consistent with that commitment and, together with the disposal of
FerroAlloys completed in October 2025, represents further progress in simplifying our portfolio,
allowing us to focus management attention and direct capital to areas which enhance long-
term value for all our stakeholders.

Coal remains an important business pillar. Our established South African coal portfolio,
underpinned by long-life, high-quality, well capitalised and cash generative assets will continue
to provide defensive and diverse earnings, supporting the execution of our growth strategy.

We remain focused on maintaining our track record of consistent shareholder returns and
growing our renewable energy business and future-facing metals, particularly our globally
significant position in manganese.” said Ben Magara, Chief Executive Officer of Exxaro

The closing date of the Disposal will be the date of transfer of ownership to Stanmore, which
is anticipated to occur before the end of the fourth quarter of 2026 (“Closing Date”), subject to
customary Australian regulatory approvals for transactions of this nature, which include but are
not limited to approval by the Foreign Investment Review Board (“FIRB”), clearance by the
Australian Competition and Consumer Commission (“ACCC”), and Ministerial approval for the
transfer of mining tenements.
Categorisation
Neither the Pre-Emptive Acquisition nor the Disposal constitute categorisable transactions in
terms of Section 8.4 of the JSE Limited Listings Requirements nor are they related party
transactions in terms of Section 9 and accordingly, this announcement is made on a voluntary
basis.
