Form 8-K (the "Form 8-K") has been filed by Powerfleet with the U.S. Securities and Exchange Commission (the "SEC").

Item 2.02. Results of Operations and Financial Condition.

On August 22, 2024, the Company issued a press release regarding financial results for the fiscal quarter ended June 30,
2024 and pro forma results for the fiscal year ended March 31, 2024 (assuming the Company's business combination
with MiX Telematics Limited ("MiX Telematics") closed April 1, 2023). A copy of the press release is being furnished
as Exhibit 99.1 to the Form 8-K.

The information is being furnished pursuant to Item 2.02 of Form 8-K. In accordance with General Instruction B.2. of
