NEDBANK GROUP AND NEDBANK LIMITED – CHANGES TO THE BOARDS OF DIRECTORS


As part of the Group's ongoing board continuity planning, the board of directors of Nedbank Group and
Nedbank Limited (the boards) are pleased to announce that Mary Sina Bomela and Oliver Darrel Fortuin
have been appointed as independent non-executive directors with effect from 1 June 2025. Oliver will
join the Group IT Committee, and Mary will join the Group Audit Committee and Group Transformation,
Social and Ethics Committee, also with effect from 1 June 2025.

The appointments have been made in terms of the Group's policy on the nomination and appointment
of directors.

Mary Bomela (BCom (Hons), CA(SA), MBA) has held executive positions in finance, resources, media
and utilities sectors. Mary was most recently the CEO of Mineworkers Investment Company (RF) (Pty)
Limited. She is also non-executive director of Kumba Iron Ore and Deputy Chairperson of Metrofile
Holdings Limited. Previously non-executive directorships include FirstRand Group Limited, Primedia
(Pty) Limited and Ascendis Health (Pty) Limited

Oliver Fortuin (MBA) has in excess of 30 years' senior leadership experience in multinational
organisations in the ICT industry and has worked extensively across the African continent, Middle
East, United States of America and Asia. Oliver has been CEO of Airtel Business (Europe, Middle
East and Africa) since 2023. He was previously CEO of Seacom Limited, Group Enterprise Director for
MTN Group, and CEO of BT Global Services Africa. Other previous non-executive directorships
include Adapt-IT, Ellies Electronics (Pty) Limited, British Chamber of Business for Africa, IBM
Southern Africa and Hewlett Packard South Africa.
Daniel Mminele, Nedbank Group's Chairperson, extended a warm welcome to both Oliver and Mary
and said that their appointments would bring a wealth of expertise to the boards, strengthening the
board's skills and experience in the key areas of banking and other financial services, accounting and
auditing, risk management, doing business in Africa, innovation and digital, and IT and cyberresilience,
whilst also enhancing the group's race and gender diversity profile.
