CHANGES TO THE BOARD AND COMMITTEES

In accordance with paragraph 3.59 and 6.39 of the JSE Limited Listings Requirements and
Debt Listings Requirements, respectively, the board of directors of PSG Financial Services
("Board") wishes to advise shareholders that as part of the nominations committee's annual
review, the Board approved the following Board and committee changes:

    1. Ms Anna Modi Hlobo ("Modi"), who will retire by rotation at the Company's annual
       general meeting, scheduled for 24 July 2025 ("AGM") (in terms of the Company's
       memorandum of incorporation and the JSE Listings Requirements), has indicated that
       she will not be making herself available for re-election at the AGM.

       Accordingly, the Company herewith confirms Modi's retirement as an independent
       non-executive director and a member of the audit, risk and social and ethics
       committees, with effect from the date of the AGM being Thursday, 24 July 2025.

       The Board would like to thank Modi for her positive contribution to the Company.

    2. Mr Francois Johannes Gouws ("Francois") will step down as a member of the social
       and ethics committee to accommodate the relevant Companies Act Amendments
       relating to Social and Ethics Committee composition, with effect from 30 May 2025.

Following the envisaged changes mentioned above, there will be no vacancy on the Board.
