INVESTEC BANK LIMITED: UPDATE OF THE WARRANT AND NOTE PROGRAMME
MEMORANDUM

In accordance with the provisions of the JSE Listings Requirements, noteholders are advised that
Investec Bank Limited (the "Company") has concluded an update of its Warrant and Note
Programme Memorandum (the "Programme Memorandum") which has been formally approved
by the JSE on 9 April 2024.

The update of the Programme Memorandum involves amendments to accommodate legislative
and regulatory changes and updates to the relevant listing requirements and stock exchange
rules; and to provide for the Company to issue Flexible Investment Notes as structured products,
in accordance with section 19 (Specialist Securities) of the JSE Listing Requirements.

Any capitalised terms referred to herein, and not defined, shall bear the meanings ascribed
