CAUTIONARY ANNOUNCEMENT

HCI shareholders are advised that the Company is engaged in a
process regarding a potential transaction ("Proposed Transaction"). 
While there is currently no certainty that the Proposed Transaction   
will be concluded or implemented thereafter, if concluded and implemented, the Proposed
Transaction may have a material effect on the price of the Company's securities. 

Accordingly, HCI shareholders are advised to exercise caution when dealing in the Company's securities
until a further announcement is made.
