                                          CLARIFICATION OF ACTING CEO


Shareholders are referred to the announcement published on SENS on 20 December 2021 entitled “Results of Annual
General Meeting and Changes to Composition of Board and Board Committees” (“the Announcement”). In the
Announcement, it was stated that Andrew Marshall was appointed as acting chief executive officer (“CEO”) and shall
remain an employee of the Company in this role. For clarification, the board of directors of Ascendis Health (“the Board”)
has approached Andrew about the acting CEO role while it continues its search for a permanent candidate. Andrew and
the Board are still engaged in discussions in this regard and is subject to finalisation.
