NO CHANGE STATEMENT AND CLARIFICATION ANNOUNCEMENT
1. NO CHANGE STATEMENT
Shareholders are advised that the Company’s 2021 Consolidated Annual Financial Statements for the
year ended 30 September 2021 (“Annual Financial Statements”) are available on the Company’s
website at: https://thespargroup.com/pdf/Annual_Financial_Statements_2021.pdf.
The Annual Financial Statements and the auditor’s report thereon do not contain any changes to the
financial information contained in the preliminary reviewed condensed group results for the year ended
30 September 2021, which were published on SENS on Wednesday, 17 November 2021, or to the auditor’s
review report thereon. A copy of the Annual Financial Statements and the unmodified auditor’s report
thereon are available for inspection at the Company’s registered office.
Shareholders are further advised that the Company’s 2021 Integrated Annual Report which incorporates
summarised Annual Financial Statements and the notice of the 2022 annual general meeting (“2022 AGM”)
(“Notice”) will be distributed to shareholders on or about Wednesday, 22 December 2021.
2. CLARIFICATION ANNOUNCEMENT
Shareholders are referred to the announcement published on SENS on Tuesday, 7 December 2021
wherein shareholders were advised of certain changes to the board of directors of SPAR (“Board”) and
Board committees (“Announcement”).
The Announcement indicated that the 2022 AGM will be held on Tuesday, 15 February 2021 and the
Company hereby wishes to clarify that the 2022 AGM will be held on Tuesday, 15 February 2022. Further
details regarding the 2022 AGM will be published on SENS when the Notice is distributed to shareholders
in due course, as set out above.
Furthermore, the Company hereby clarifies Mr Sundeep Tribhovandas Naran’s credentials and experience
as follows:
Sundeep is a qualified Chartered Financial Analyst (CFA) and also holds a BSc (Mathematical) degree from
the University of the Witwatersrand. Sundeep had a 20 year career at RMB having served in many
capacities including: Senior Transactor in the Mergers and Acquisitions team, Co-head of the Leveraged
Finance team and the Head of Financial Resources Management. He was a member of the RMB executive
committee. Sundeep was previously employed in the actuarial environment at the Employee Benefits
division of Southern Life and Momentum. He has previously served as a non-executive director and
member of the Social and Ethics and Audit and Risk Committees of Primedia Holdings and Afrisam
Holdings.
