Notification of change in external auditor Alexander Forbes Group Holdings Limited (Incorporated in the Republic of South Africa) Registration Number: 2006/025226/06 JSE Share Code: AFH and ISIN: ZAE000191516 (Alexander Forbes or the Company) NOTIFICATION OF CHANGE IN EXTERNAL AUDITOR Shareholders are advised that Deloitte & Touche (Deloitte) will succeed PricewaterhouseCoopers Incorporated (PwC) as the Company and Group’s independent external auditor with effect from the financial year ending 31 March 2023. As communicated to shareholders in the September 2021 annual general meeting notice and the Group Audit and Risk Committee report for the year ended 31 March 2021, the Committee had indicated that the ensuing financial year would be PwC’s final year of re-appointment. As promised, the Company had embarked on a formal process, in line with the Independent Regulatory Board for Auditors’ mandatory audit firm rotation requirement to appoint a new independent external auditor for the 2023 financial year. The transition is therefore in furtherance of good corporate governance and compliance ahead of mandatory audit firm rotation. A period of overlap will commence early in 2022 to ensure a smooth transition and PwC’s appointment will terminate on conclusion of its responsibilities relating to the 31 March 2022 financial year audit, which is expected to be concluded at or about the end of June 2022. Deloitte’s appointment will be proposed to shareholders at the Company’s annual general meeting to be held in September 2022.
