DEALING IN SECURITIES BY ASSOCIATES OF DIRECTORS

In terms of paragraphs 6.77 to 6.90 of the Listings Requirements of the JSE Limited, shareholders are advised
of the following dealing in Shoprite Holdings ordinary shares by Titan Fincap Solutions (Pty) Ltd ("Titan
Fincap"), an associate of Dr CH Wiese and Adv JD Wiese.

Titan Fincap has entered into a Total Return Swap in respect of 1,500,000 Shoprite Holdings ordinary shares,
full details of which are set out below.

Further to the transaction above, the Titan group of companies concluded intra-group transactions (off market)
on 29 April 2026 where:
 (i)     Titan Fincap acquired an option to purchase, up to 1,500,000 Shoprite Holdings ordinary shares from
         TPI at a purchase price of R 340.00 per share, and
 (ii)    TPI obtained an option from Thibault Square Financial Services (RF) (Pty) Ltd ("Thibault") to purchase
         up to 1,500,000 Shoprite Holdings ordinary shares in exchange for the issue of consideration shares
         in TPI, determined in accordance with the formula set out in the relevant option agreement.

The above options expire on 26 April 2029.

TPI, Thibault and Titan Fincap are wholly owned subsidiaries in the Titan group of companies and associates
to Dr CH Wiese's and Adv JD Wiese, therefore the above intra-group transactions do not result in any change
to the Titan group of companies' and Dr CH Wiese's and Adv JD Wiese's direct and indirect beneficial
shareholdings in Shoprite Holdings ordinary shares.

The above transactions, prior to the exercise of the intra-group options, do not affect any of the voting rights
in respect of Shoprite Holdings ordinary shares and deferred shares held by Thibault.
