CHANGES TO THE BOARD OF DIRECTORS AND BOARD COMMITTEES
In accordance with paragraph 6.71 of the JSE Listings Requirements, the board of directors of Optasia
(the “Board”) is pleased to announce the appointment of Mr Michael Ibinabo Ikpoki and Mr Michiel
Jeroen Herkemij as independent non-executive directors with effect from 1 September 2026. Both
appointments follow a recommendation by the Nomination Committee. Mr Ikpoki and Mr Herkemij
will each retire at the conclusion of the Company’s next Annual General Meeting (“AGM”) and will
stand for election by shareholders at that meeting.
Mr Michael Ibinabo Ikpoki
Mr Ikpoki brings over thirty years of experience in the African telecommunications sector, spanning
regulatory, commercial operations, executive leadership and telecom advisory. He spent fourteen
years with the MTN Group where he served as Chief Executive Officer of MTN Ghana and
subsequently Chief Executive Officer of MTN Nigeria. He now leads Africa Context Advisory Partners.
He is a lawyer by training and was called to the Nigerian Bar in 1991. He has completed General
Management and Executive Programmes in Harvard, London Business School and INSEAD. He
currently serves as an Independent Non-Executive Director of Unilever Nigeria PLC and chairs the
Boards of Amplitude Telecoms Africa Limited and Onafriq Nigeria Payments Limited.
Mr Ikpoki will also be appointed as a member of the Audit Committee with effect from 1 September
2026.
Mr Michiel Jeroen Herkemij
Mr Herkemij brings extensive international consumer, commercial and board experience; among
others serving as CEO for Nigerian Breweries Plc, Heineken Mexico and Carlsberg Europe. He has
previously served as a non-executive director of Jack Link’s and of United Dutch Breweries, and as
chair of the board of Eichholtz Group.
He holds a Master’s degree in International Law from the University of Amsterdam and a Master’s
degree in Change Management, and has completed governance programmes with the JSE and
Harvard.
Mr Herkemij will also be appointed as a member of the Nomination and Remuneration Committee
with effect from 1 September 2026.
The Board confirms that it has undertaken a fit and proper assessment of each of Mr Ikpoki and Mr
Herkemij and is satisfied with the outcome and that both have confirmed their integrity in terms of
the information contained in the directors’ declarations.
