NEDBANK GROUP AND NEDBANK LIMITED – CHANGE TO THE BOARDS OF DIRECTORS AND
BOARD COMMITTEES

In compliance with paragraph 3.59 of the JSE Limited (JSE) Listings Requirements, paragraph 6.42 of
the JSE Debt and Specialist Securities Listings Requirements and as part of the Group's ongoing board
continuity planning, the board of directors of Nedbank Group and Nedbank Limited (the boards) are
pleased to announce that Mr George Njenga has been appointed as an independent non-executive
director and member of the Nedbank Group Sustainability and Climate Resilience Committee with effect
from 1 December 2025. The appointment has been made in terms of the Group's policy on the
nomination and appointment of directors.

Mr Njenga (BSc. Chemistry) has over 30 years' leadership experience in the energy sector and has led
multi-million-dollar businesses and projects across Africa, the Middle East and Asia, covering renewable
energy, and power generation. He is the Executive Chairman of Lake Turkana Wind Power, Sub-
Saharan Africa's largest wind energy project. Mr Njenga is the former CEO for the East Africa platform
of A.P. Moller Capital and prior to this he was the CEO of GE Renewable Energy (Grid and Hydro) for
Sub-Saharan Africa.

Daniel Mminele, Chairperson of Nedbank Group, extends a warm welcome to George and said that
George's deep expertise in leading complex energy projects and his proven track record in advancing
sustainable power solutions across multiple continents will provide invaluable insight to the boards.

Shareholders and noteholders are further advised that Mr Fleetwood Grobler, who was appointed to the
boards and the Nedbank Group Sustainability and Climate Resilience Committee on 1 November 2025,
has also been appointed a member of the Nedbank Group Remuneration Committee with immediate
effect.
