CHANGES TO THE BOARD OF DIRECTORS

In accordance with paragraph 6.71 of the JSE Listings Requirements, the board of directors
of Insimbi ("the Board") wishes to advise that Mr Robert Dickerson will retire as an
Independent Non-Executive Director and Chairperson of the Board, and, accordingly, will step
down from Audit and Risk Committee, Remuneration and Nomination Committee and Social
and Ethics Committee ("Board Sub-Committees"), with effect from 28 February 2026.

Shareholders are further advised that Mr Nelson Mwale, currently an Independent Non-
Executive Director, will be appointed as Chairperson of the Board, and will assume the roles
previously held by Mr Dickerson on the Board Sub-Committees, with effect from 28 February
2026.

The Board further advises that Ms Cleopatra Ntshingila, will assume the role of Chair of the
Remuneration Committee, with effect from 28 February 2026.

The Board expresses its sincere appreciation to Mr Dickerson for his valuable contribution and
dedicated service to the Company and wishes him well in his retirement and extends its
congratulations and support to Mr Mwale and Ms Ntshingila on their new roles and looks
forward to their continued leadership and contribution to the Board.

The Board has embarked on a process to appoint a new Independent Non-Executive Director
and shareholders will be advised as soon as such appointment has been made.
