ALPHAMIN ANNOUNCES CAD$0.04 PER SHARE INTERIM FY2025 DIVIDEND/ FILES Q3 2025 FINANCIAL STATEMENTS AND MD&A


MAURITIUS – November 3, 2025 – Alphamin Resources Corp. (AFM:TSXV, APH:JSE AltX)
("Alphamin" or the "Company") announced today the declaration of a second interim FY2025
dividend and the filing of its unaudited condensed consolidated financial statements and
accompanying Management's Discussion and Analysis ("MD&A") for the three and nine
months ended 30 September 2025 on SEDAR+ at www.sedarplus.ca.

The financial statements for the quarter ended 30 September 2025 are also available on the
JSE's cloudlink at https://senspdf.jse.co.za/documents/2025/jse/isse/aphe/Q32025.pdf

Second Interim FY2025 Dividend Declared
The Board has declared a second interim FY2025 cash dividend of CAD$0.04 per share on
the common shares (approximately US$37 million in the aggregate) (the "Dividend"). The
Dividend will be payable on December 8, 2025 to shareholders of record as of the close of
business on November 21, 2025.

The Company intends to make a Final FY2025 dividend decision in April 2026 to align with the
timing of holding the annual general meeting of Alphamin Bisie Mining SA (ABM), the
Company's DRC operating subsidiary, to approve ABM's annual financial statements and to
consider the declaration of a dividend for distribution to its shareholders.

The gross amount of CAD$0.04 per Alphamin share, being the equivalent of ZA49.47480 cents
per Alphamin share is based on an exchange rate of CAD$1.00 = ZAR12.3687 as at Friday,
31 October 2025.

The salient dates of the cash dividend on the JSE Limited ("JSE") are as follows:

Shares certificates on the South African branch register may not be rematerialised or
dematerialised between Wednesday, 19 November 2025 and Friday, 21 November 2025, both
days inclusive, nor may transfer between the Canadian share register and the South African
share register take place between Wednesday, 19 November 2025 and Friday, 21 November
2025, both days inclusive.

In accordance with the JSE Listings Requirements, the following additional information is
disclosed for South African resident shareholders:

1.   the cash dividend has been declared out of income reserves and is being sourced from
     the Republic of Mauritius;
2.   the cash dividend is regarded as a "foreign dividend" (as defined in the South African
     Income Tax Act No. 58 of 1962) for South African resident shareholders holding shares
     on the South African register;
3.   Alphamin has no tax registration in South Africa;
4.   the local dividend tax ("Dividend Tax") rate is 20%, resulting in a gross cash dividend of
     CAD$0.04 (ZAc49.47480) and a net cash dividend amount of CAD$0.032
     (ZAc39.57984) for South African shareholders who are not exempt from paying Dividend
     Tax;
5.   Alphamin has 1 278 910 479 shares in issue; and
6.   Alphamin shareholders who are in doubt as to their tax status or position, including any
     exchange control requirements, should consult an appropriate independent professional
     advisor in their relevant jurisdiction without delay.
