LISTING OF WEBUYCARS ON THE MAIN BOARD OF THE JOHANNESBURG STOCK EXCHANGE ("JSE")

Unless defined in the body of this announcement ("Announcement"), capitalised terms used in this Announcement
(including headings) shall have the meanings ascribed to them in the pre-listing statement published by the Company
on 12 March 2024 ("Pre-listing Statement").

WeBuyCars and Transaction Capital have successfully raised an aggregate amount of R902.7 million, at a price of R18.75
per WBC Share, by way of:
   i. the issue of 40 million authorised WBC Shares for an amount of R750 million immediately prior to the Listing;
      and
  ii. the disposal by Transaction Capital of 8.145 million WBC Shares for an amount of approximately R152.7 million
      immediately prior to the Listing.

Shareholders are referred to the SENS announcement published by Transaction Capital on 19 March 2024 which sets
out the further terms applicable to the pre-listing capital raise.

Accordingly, the final number of ordinary shares in issue as at the Listing Date will be 417 181 120 WBC Shares, at a
price of approximately R18.75 per WBC Share, which implies a total market capitalisation of R7.82 billion for WeBuyCars
on Listing, subject to demand and market conditions on the Listing Date.

The Listing Date is on Thursday, 11 April 2024 and the JSE admission is effective at 9:00 a.m. on the Listing Date.
