APPOINTMENT OF AUDIT AND RISK COMMITTEE MEMBER


Shareholders are advised that independent non-executive director David Nurek
has been appointed to the group’s audit and risk committee (“the committee”)
with effect from 18 March 2022.

His appointment follows the vacancies created on the committee following the
retirement of non-executive director Fatima Daniels and the decision by non-
executive director John Bester to stand down as a member of the committee
owing to his long tenure, both with effect from 26 January 2022.

Mr Nurek will serve on the committee on an interim basis until an additional non-
executive director is appointed to the board who is suitably qualified to serve on
the committee.

The directors believe that Mr Nurek is the most qualified director to serve on the
committee in an interim capacity owing to his extensive experience in serving on
audit and risk committees across several listed companies and also having
previously served on the group’s audit and risk committee.
