CHANGES TO THE BOARD OF DIRECTORS AND COMPANY SECRETARY


APPOINTMENT OF DIRECTORS

Shareholders are advised that the board of directors of Hyprop (“the board”) has appointed Loyiso Dotwana
and Bernadette Sibusisiwe Mzobe as independent non-executive directors of the Company, with effect from
21 January 2022.

Loyiso is a civil engineer with 30 years of experience in construction, consulting and property development,
and is a founder and director of Afrimat Limited. He is currently the chairman of the NAKO Group and NAKO
ILISO (collectively “NAKO”), prior to which he was the executive director for business development at
NAKO. He is the Chairman of Blackwood Power, a renewable energy business, and the current President of
the Nelson Mandela Bay Business Chamber.

Bernadette is the chief executive officer of Rokwil Group Proprietary Limited, a property development
company based in Kwa-Zulu Natal, and a non-executive director of Sub Saharan Industrial Holdings and the
University of South Africa. She serves as the Chairperson of Women-In-Industries Holdings and is the KZN
Regional Chairperson of the South African Property Owners Association. She previously held positions in the
real estate divisions of Standard Bank, Ithala Limited and Investec.

Loyiso and Bernadette’s appointments are in terms of Hyprop’s board nomination policy and succession
planning.

APPOINTMENT OF COMPANY SECRETARY

Shareholders are further advised of the appointment of Fundiswa Nkosi as Hyprop’s company secretary, with
effect from 1 February 2022, replacing Statucor Proprietary Limited.

Fundiswa holds a CIS qualification and has considerable company secretarial experience, most recently as a
divisional company secretary in the Bidvest Group with responsibility for the banking, insurance and property
divisions. Fundiswa’s appointment will supplement Hyprop’s in-house regulatory, risk and compliance
capabilities.

The board welcomes Loyiso, Bernadette and Fundiswa, and looks forward to their contributions to the
Company. The board thanks Statucor for their contribution as company secretary.
