CHANGES TO THE BOARD OF DIRECTORS AND COMMITTEES OF MTN HOLDINGS
Noteholders are advised of changes in the composition of the MTN Holdings board of directors
(Board) in accordance with paragraphs 6.42 of the JSE Debt and Specialist Securities Listings
Requirements.
1. MTN Holdings Board Retirements
Stan Miller and Nkululeko Sowazi, both appointed on 1 August 2016, will formally retire from
the Board of MTN Holdings as independent non-executive directors at the forthcoming Annual
General Meeting (AGM) on 29 May 2026, following more than nine years of service.
The Board extends its gratitude to both of them for their many years of commitment and
dedicated service to MTN Holdings. Their contributions have been instrumental in guiding the
Group through numerous challenges and opportunities. As they retire, the Board wishes them
the best in their future endeavours.
As a result of the above changes:
Stan Miller will step down as a member of the Social, Ethics and Sustainability Committee, the
Risk and Compliance Committee and the Board Strategy Execution Committee.
Nkululeko Sowazi will step down as Chairman and member of the Social, Ethics and
Sustainability Committee, Finance and Investment Committee, the Human Capital and
Remuneration Committee as well as the Directors' Affairs and Governance Committee.
2. MTN Holdings Board Leadership Transition
Noluthando Gosa, currently serving as an independent non-executive director on the MTN
Group and MTN Holdings Boards, will join the MTN SA Board as a non-executive director, once
their governance processes are completed. Noluthando will continue their roles as directors of
MTN Group and MTN Holdings Boards.
