NOTICE OF THE 29th ANNUAL GENERAL MEETING ("AGM") OF MTN GROUP LIMITED

Notice is hereby given that the 29th AGM of shareholders of the Company will be held virtually
(refer to online shareholders' guide) on Friday, 24 May 2024 at 14:30 (South African time), to
transact business as stated in the notice of AGM of the Company ("Notice of AGM").

The Notice of AGM, which has been distributed today, 25 April 2024, is also available on the
Company's website, at https://www.mtn.com/annual-reports/ as from today.

The Annual Financial Statements are available through the JSE cloudlink at:

The Integrated Report is expected to be released on Monday, 29 April 2024 and details of the
weblink will be released on that date.

The Company fully embraces digital connectivity and has opted to hold a virtual AGM in order to
enable the shareholders to participate and vote from any location. Recognizing the significance of
shareholders' involvement and valuing their contributions, conducting a virtual AGM provides a secure
and efficient way to engage. Shareholders will be able to fully participate and raise questions on each
of the resolutions to be passed at the AGM.

It is therefore imperative that shareholders take the time to read the online shareholders' guide that
the Company has provided in the Notice of AGM, it provides the details of the virtual AGM and also
valuable information to prepare shareholders for the virtual participation in the AGM.

We encourage shareholders who are not able to attend the virtual meeting to lodge their proxies with
the Company's South African transfer secretaries (Computershare Investor Services).
