DISPOSAL OF SUBSIDIARIES IN MOZAMBIQUE AND MAURITIUS AND FACILITY WITH STANDARD
BANK UPDATE

Stefanutti Stocks hereby provides shareholders with an update on the disposal of SS-Construções
(Moçambique) Limitada and Stefanutti Stocks Construction Ltd (the Sale Transactions) as reported in the
Category 2 transaction announcement released on 8 July 2025 (the Announcement) and an update on the
Facility with Standard Bank as reported in the Unaudited Interim Consolidated Results for the six months ended
31 August 2025 released on 25 November 2025.

With respect to the Sale Transactions, shareholders are advised that the relevant sale agreements became
unconditional, and that the disposals were implemented on 12 December 2025. All payments as envisaged in
the Announcement, including those which were only due by 31 December 2025, have been received.

Furthermore, shareholders are advised that Stefanutti Stocks made a capital repayment towards the
outstanding Facility with Standard Bank of R550 million on 11 December 2025 thereby reducing the
outstanding capital of the Facility from R850 million to R300 million.
