Rand Water is established in terms of the Water Services Act, 1997 (the Act). Through the Department of Water and Sanitation and duly represented by the Minister of Water and Sanitation, the Government of the Republic of South Africa is the sole shareholder of Rand Water. In terms of the Act, Rand Water's primary activity is the provision of bulk water supply services (potable bulk water and sanitation services) within the predetermined service area.

APPOINTMENT OF DIRECTORS TO THE RAND WATER BOARD

Rand Water hereby notifies its debt investors that the Minister of Water and Sanitation (the Minister) has appointed the following persons as Independent Non-Executive Directors to the Rand Water Board, effective 1 November 2026.

* Mr Gcinumzi Qotywa - Chairperson;
* Ms Phindile Mbanjwa - Deputy Chairperson;
* Mr Luvuyo Ntoyi (reappointment);
* Ms Lethabo Mashamaite (reappointment);
* Ms Ayanda Noah;
* Mr Oliver Josie;
* Dr Mosidi Makgae;
* Dr Rethabile Melamu;
* Ms Ayanda Mafuleka; and
* Ms Moleboge Bothlale Lekwane.

In compliance with 7.3(d) of the JSE Debt and Specialist Securities Listings Requirements, Ms Matshidiso Nyembe, the Group Chief Financial Officer of Rand Water, has been appointed as an Executive Financial Director and member of the Rand Water Board, with effect from 1 November 2026.

Rand Water further confirms that Mr Sipho Mosai, the Group Chief Executive of Rand Water, has been reconfirmed as an Executive Director and member of the Rand Water Board, with effect from 1 November 2026.

The appointments were made in accordance with the Water Services Act, No. 108 of 1997 (the ?Water Services Act?), which empowers the Minister to establish a water board and appoint its members. Schedule 1 to the Water Services Act regulates, among other matters, the terms of office and the process for appointing the chairperson and members of a water board.
