AVAILABILITY OF UPDATED NOMINATIONS COMMITTEE CHARTER
Noteholders are referred to the announcement published by Pan African Resources PLC
(the "Guarantor") on 24 October 2025 pertaining to the admission of the Guarantor's ordinary shares
to the Equity Shares (Commercial Companies) category of the Official List of the Financial Conduct
Authority and to trading on London Stock Exchange plc's main market for listed securities (together,
the "Admission").
In light of the Admission, various amendments were required to be made to certain policies and
charters governing the Guarantor and its subsidiaries, including the policy pertaining to the process
for nomination and appointment of directors, which is contained in the document titled "Nominations
Committee Charter" (a document incorporated by reference in the programme memorandum, dated
17 October 2023, as amended and restated from time to time, issued in connection with the Issuer's
ZAR5 billion Domestic Medium Term Note Programme).
The updated Nominations Committee Charter is available on the Issuer's website at
