Amendment to the Supply Chain Management Policy (“SCM Policy”)

Pursuant to paragraph 7.14 of the JSE Debt and Specialist Securities Listings Requirements,
noteholders are advised of amendments to the Supply Chain Management Policy (“SCM Policy”).

The amendments relate to updates made to the SCM Policy to strengthen procurement governance,
clarify delegated approval responsibilities and align operational procurement processes with
applicable procurement requirements.

The amendments include changes to roles and responsibilities, quotation timelines and approvals,
addendum publication requirements, briefing session minutes, bid validity processes, probity
reviews, emergency and urgent procurement approvals, tax compliance requirements, committee
governance, the composition of the Bid Adjudication Committee and the appeal/objection process.

Listed hereunder is a summary of the key amendments effected to the SCM Policy:

   1. Roles and responsibilities: references to the “Chief Financial Officer” have been amended to
      “Chief Procurement Officer”.
   2. Price quotations from R10,001 up to R1,000,000 (VAT included):
      The invitation to quote must stipulate the quotation closing date and time which must allow
      the service provider at least a minimum of seven (7) working days.
   3. Updates to the following clauses:
      Addendums must be issued at least ten (10) working days before the closing date to allow
      bidders reasonable time to adjust their offers. Addendums must also be published on e-
      Tender and CIDB for infrastructure procurement and advertised in the same media in which
      the original bid invitation was published.
   4. Briefing sessions:
      Minutes of briefing sessions must be formally issued to all attendees and, where applicable,
      to bidders who expressed an interest in the bid, within a maximum of five (5) working days
      after the session and sufficiently in advance of the bid closing date.
   5. Validity period of bids:
      Requests to extend bid validity must be made in writing to all bidders at least five (5)
      working days before expiry. Bidders may accept or reject the extended validity period, and
      bidders who reject or do not respond to the request will be regarded as non-responsive and
      excluded from further assessment and evaluation.
   6. Probity audits on competitive bids below R20,000,000:
      All competitive bidding processes with an estimated value below R20 million, VAT inclusive,
      must be reviewed by the SCM. A formal audit report must be issued to the Bid Adjudication
      Committee confirming whether the prescribed procurement requirements have been
      complied with.
   7. Governance and approval requirements have been updated to provide that emergency and
      urgent procurement cases require Chief Procurement Officer approval, suppliers must be tax
      compliant at award, committee appointments and terms of reference must be formalised.
      The Bid Adjudication Committee must comprise five members appointed by the Chief
       Executive. Appeals or objections must be fully motivated and submitted to the Chief
       Executive within seven working days.
