Voluntary announcement: Strategic investment in and partnership with OPay to advance
financial services access in Africa

Standard Bank Group has signed a subscription agreement to invest in OPay, a digital financial
platform primarily offering a comprehensive suite of integrated fintech solutions in Nigeria and other
countries. This investment is expected to close concurrently with or shortly after the closing of OPay’s
proposed initial public offering. OPay publicly filed a registration statement in connection with its
proposed offering and applied to list its American Depositary Shares on the New York Stock
Exchange on Friday, 9 October.

In addition, the parties intend to explore opportunities in African markets involving digital banking and
the distribution of selected Standard Bank Group products and services through OPay’s platform. Any
initiatives remain subject to definitive agreements and regulatory approvals.

Africa’s growth is increasingly shaped by connectivity, digital adoption, and evolving models of
economic participation. Standard Bank's banking expertise and African footprint complement OPay's
digital financial services platform and merchant ecosystems.

This move demonstrates Standard Bank Group's commitment to its growth ambitions, building on the
strategy set out at its recent Capital Markets Day. It further strengthens the group’s ability to serve
clients across established and emerging channels, and advance its ambition to make financial
services more accessible. The group continues to invest in supporting intra-African trade, expanding
financial inclusion and unlocking opportunity for the continent's people and businesses.

This announcement is voluntary as the transaction consideration is expected to be less than 1% of
Standard Bank Group’s market capitalisation, well below the threshold of 5% in respect of Category 2
transactions per the JSE Listing Requirements.
