DIRECTOR APPOINTMENTS AND CHANGE TO BOARD COMMITTEE MEMBERSHIP

In compliance with paragraph 3.59 of the JSE Listings Requirements, the CMH Board
hereby notifies shareholders that PMM (Priya) Govind and CG (Charles) Webber were
appointed to the Board as executive directors effective today, 4 June 2025. This is in
terms of the Group's succession plan.

Priya Govind joined the CMH Group in 2023. She performs functions in the areas of
finance and administration and holds the positions of Chief Audit Executive and
Company Secretary. She will continue to hold these positions until a suitable
replacement is identified. Priya completed her articles at PricewaterhouseCoopers
where she was promoted to associate director. After leaving the profession she held the
position of finance director at Smiths Manufacturing and thereafter Sumitomo Rubber
South Africa. She is a Chartered Accountant (SA) and holds a Master of Business
Administration qualification from the Gordon Institute of Business Science. Priya has
been nominated as the FD designate, and will work closely with SK Jackson to ensure an
orderly transition.

Charles Webber joined the CMH Group in 2000 as a dealer principal of the Toyota / Lexus
dealership in Umhlanga. During the next 5 years he twice earned the Group accolade of
"Dealer Principal of the Year". During 2005, he joined the Group's motor executive
committee, responsible for the Toyota/Lexus, Honda and Suzuki operations. His portfolio
was later expanded to include Nissan, Stellantis, Renault and Mahindra. In 2024 he was
appointed CEO of the Group's motor retail / distribution division. Charles holds a
Bachelor of Business Administration degree. He will replace JD McIntosh on the social,
ethics and transformation committee with immediate effect.

JD McIntosh will remain CEO of the Group, but following Charles Webber's appointment,
will take a lesser role in the day-to-day activities.
