TRP121: NOTIFICATION OF ACQUISITION AND DISPOSAL OF SECURITIES
In compliance with section 122(3)(b) of the Companies Act, No. 71 of 2008, as amended ("Companies
Act"), Regulation 121 of the Companies Regulations, 2011 and paragraph 3.83(b) of the JSE Limited
Listings Requirements, shareholders are hereby advised that SABZK received notification that The SAB
Zenzele II Employee Share Trust (Masters Reference Number IT002112/2019(G)) have acquired interests
in the ordinary shares of the Company, such that the total interest in the ordinary shares of the Company
held by The SAB Zenzele II Employee Share Trust amounts to
42.9 % (from 36.99%). As confirmed by a second notification received by SABZK, the shares were
acquired from the SAB Foundation Trust (Masters Office Registration No. IT67/2010(G)) resulting in the
SAB Foundation Trust's Shareholding reducing to 11.9% (from 17.94%).
SABZK has, as required by section 122(3)(a) of the Companies Act, filed the required notices with the
Takeover Regulation Panel.
The board of directors of SABZK accepts responsibility for the information contained in this
announcement, having received the TRP 121.1 forms from The SAB Zenzele II Employee Share Trust and
the SAB Foundation Trust and, to the best of their knowledge believe the information contained in the
announcement is true, and this announcement does not omit anything likely to affect the importance of
the information contained in the announcement.
