Following the announcement released on 10 January 2022, NEPI Rockcastle is pleased to announce the results of
the tender offer of a purchase for cash by NE Property BV (the “Offer”) addressed to holders of the outstanding
EUR500,000,000 2.625 per cent. Notes due 22 May 2023 guaranteed by NEPI Rockcastle (ISIN: XS1996435928)
(the “Notes”) issued by NE Property BV and guaranteed by the Company.
