TRANSFER OF DISTRIBUTION CENTRES TO THE JOINT VENTURE COMPANY OF EQUITES AND SHOPRITE


Shareholders are referred to the SENS announcement issued on 25 February 2020 in which Equites and Shoprite
advised, inter alia, that they agreed to establish a joint venture company, Retail Logistics Fund Proprietary Limited
(“Retail Logistics Fund”), in which Equites would own 50.1% of the shares with Shoprite owning the remaining
49.9% (“Transaction”).

Pursuant to the Transaction, Retail Logistics Fund acquired from Shoprite, three distribution centres, namely the two
Brackenfell and Centurion distribution centres, and associated undeveloped bulk land (“Distribution Centres”).

Equites and Shoprite wish to advise that all the conditions to the Transaction have been fulfilled, that the respective
transfers of the Distribution Centres were registered into the name of Retail Logistics Fund in the relevant deeds
offices this morning, and that the Transaction has been implemented.
