UPDATE RELATING TO THE DISPOSAL OF SPECIFIC PORTION OF SUMMIT PLACE


Shareholders are referred to the announcement released on SENS on 3 November 2025 ("Announcement")
(and using the terms defined therein unless otherwise stated) regarding the conclusion of a sale agreement
("Agreement") between Pilot Peridot Investments 1 Proprietary Limited ("Pilot Peridot" or "the Seller"), an
85.27%-owned subsidiary of Putprop and Veritas 1000 Proprietary Limited (the "Purchaser") for the disposal
of a specific portion of the common property in the scheme known as Summit Place Erf 39 ("Summit Place")
to the Purchaser for a consideration of R26 500 000 (excluding VAT) ("Disposal").

Shareholders are advised that the Seller and the Purchaser have since entered into a written addendum to the
Agreement ("Addendum"), in terms of which condition 2.4.1.1, as detailed in the Announcement (the due
diligence condition) has been deleted and replaced in its entirety with the following:

•   "Due Diligence - the Purchaser undertakes to perform a comprehensive due diligence on the Property and
    in addition, investigate the viability of its potential development of the Property and on or before 17:00 on
    30 June 2026, confirm, in its sole and absolute discretion, that it is satisfied with the outcome of such
    investigation(s)."

Save for the amendment described above, all other terms and conditions of the Agreement remain unchanged.

The categorisation of the Disposal remains unchanged as a Category 2 transaction in terms of the JSE Listings
Requirements and accordingly, does not require shareholder approval.
