APPOINTMENT OF NEW LEAD INDEPENDENT DIRECTOR AND CHAIRPERSON OF THE
CORPORATE GOVERNANCE AND NOMINATIONS COMMITTEE

In compliance with paragraph 3.59 of the JSE Listing Requirements:

1. The Board is pleased to announce the appointment of Mr Aboubakar (Bakar) Jakoet as Lead
   Independent Director of the Company as well as the Chairperson of the Corporate Governance
   and Nominations Committee with effect from 01 January 2026. Mr Jakoet            has been an
   independent non-executive director of the Company since his appointment in 2019. He is a
   Chartered Accountant and an experienced director. Mr Jakoet is also the Chairperson of the Risk
   Committee, and a Member of the Audit Committee.

    The Company looks forward to Mr Jakoet's continued board participation and contribution and
    wishes him the very best in his new role.

2. The Board also wishes to advise that Mr Peter de Beyer, has resigned from his position as the
   longstanding Lead Independent Director of the Company as well as the Chairperson of the
   Corporate Governance and Nominations Committee with effect from 31 December 2025.

    The Board would like to express its gratitude for the immense value that Mr de Beyer contributed
    over the years.

    Mr de Beyer remains a board member of the Company as well as a Member of the Remuneration
    Committee and the Corporate Governance and Nominations Committee.
