CHANGES TO THE BOARD AND BOARD COMMITTEES

In accordance with paragraph 6.71 of the JSE Limited Listings Requirements, shareholders are
advised of the following changes to the Board of Directors of Pick n Pay (the “Board”) and its
committees.

1. Social, Ethics and Transformation Committee
Professor Haroon Bhorat will step down as Chair and as a member of the Social, Ethics and
Transformation Committee (“SETC”) with effect from 1 February 2027.

Mr Thabo Leeuw will succeed Professor Bhorat as Chair of the SETC with effect from the same date.
Mr Leeuw joined the Board as an independent non-executive director and became a member of the
SETC with effect from 1 February 2026.

The Board would like to thank Haroon for his valued contribution to the SETC and in particular, for
his leadership in maintaining and strengthening the Group’s ethical and social standards. The Board
supports the appointment of Mr Leeuw as Chair of the SETC and is confident that his experience
and expertise will further strengthen the Committee’s oversight of social, ethics and transformation
matters.

Professor Bhorat retains his role as Chair of the Remuneration Committee and his membership of
the Group Audit, Risk and Compliance Committee, Nominations and Corporate Governance
Committee and the Finance and Investment Committee.

2. Group Audit, Risk and Compliance Committee
As part of the Board’s ongoing refreshment and committee succession planning, Ms Pooven Viranna
will succeed Mr Aboubakar Jakoet as Chair of the Group Audit, Risk and Compliance Committee
(“GARCC”) when Mr Jakoet steps down as GARCC Chair and retires from the Board at the
conclusion of the Company’s 2027 Annual General Meeting in August 2027.

The Board believes that these changes will support effective succession and ensure the continued
strength of its governance and committee oversight.

3. Resignation of Board director
Mr Grant Pattison has resigned as an independent non-executive director of Pick n Pay with
immediate effect, in order to pursue new opportunities. The Board thanks Grant for his service.
