VOLUNTARY TRANSACTION ANNOUNCEMENT

CA&S is pleased to advise shareholders that the Company has entered into an agreement to
subscribe for an initial 51% controlling shareholding in Pantry Club Proprietary Limited
("Pantry Club") (the "Transaction").

The Company may in future, at its sole discretion, increase its stake in Pantry Club by a further
9%, in terms of a call option between the Company and minority shareholders, to a
shareholding of 60%.

The Transaction will be funded from internal cash resources.

Pantry Club operates a business platform for fast moving consumer goods in South Africa,
providing sales, distribution and e-commerce solutions to FMCG manufacturers. Its business
includes managing bespoke employee purchasing platforms for corporate clients, and
operating an online grocery marketplace. Pantry Club's operations are underpinned by
proprietary IT systems that support its e-commerce platforms, order management, logistics
optimisation and delivery network.

The acquisition is aligned with CA&S's strategic objective of expanding its presence in
e-commerce by securing access to capabilities not currently held within CA&S, thereby
enhancing and broadening its service offering.

The Transaction is uncategorised in terms of the JSE Listings Requirements and falls below
the Category 3 threshold in terms of the BSE Equity Listings Requirements.
