BOARD CHANGE
In accordance with paragraph 6.71 of the Listings Requirements of the JSE Limited,
shareholders are advised of the following changes to the board of directors of Boxer
("Board") and its committees.
As previously communicated to the market in the Company's SENS announcement dated 21
May 2025, James Formby will step down as Chair of the Company with effect from 28
February 2026. James will remain on the Board as a non-independent non-executive
director.
As previously announced, the Board is pleased to confirm that Sean Summers, currently
Chief Executive Officer of Pick n Pay Stores Limited and a non-executive director of the
Company, has been appointed as non-independent, non-executive Chair of Boxer, with
effect from 1 March 2026.
In connection with this change in Chairmanship, Sean Summers will step down as a member
of the Company's Remuneration Committee, with effect from 1 March 2026. James Formby
will be appointed as a member of the Remuneration Committee with effect from the same
date.
The Board expresses its sincere appreciation to James for his leadership and valuable
contribution as Chair of the Company and looks forward to his continued service as a non-
executive director and committee member.
The Board welcomes Sean as Chair and is confident that his extensive retail experience and
strategic leadership will support the Company's continued growth and performance.
Charlotte Maponya will continue to serve as Lead Independent Director of the Company.
