CHANGES TO THE BOARD OF DIRECTORS AND BOARD SUB-COMMITTEE COMPOSITION

This announcement is published in compliance with paragraph 6.71 of the JSE Requirements.

Netcare is pleased to announce the appointment of Ms Nombulelo (Pinky) Moholi as independent non-
executive director with effect from 02 March 2026. Pinky will join the Remuneration Committee as a
member and its Chairperson.

Pinky is a distinguished leader and qualified engineer with over 24 years of business experience, including
17 years at executive management level. She stepped down as Group Chief Executive Officer of Telkom
in March 2013 and has since focused her career on board committee engagements. She currently serves
on the boards of several leading listed companies, including AECI and Santam, where she contributes to
the oversight of remuneration, innovation, and technology strategy. Her governance experience spans
service on key board committees, including Remuneration, Investments, Innovation & Technology,
Nominations, and Risk. She most recently concluded a ten?year tenure on the Woolworths Holdings Group
board in November 2025.

The Netcare board of directors ("Board") welcomes the appointment of Pinky and is confident that the
Board will benefit from her strong governance, financial, marketing and business leadership experience.

The Board confirms that in compliance with paragraph 6.73 of the JSE Requirements, a fit and proper
assessment has been conducted and that the Board is satisfied with the outcome of the assessment.
Additionally, the Company confirms that there are no positive statements to report in respect of the integrity
information contained in the director's declaration.
