CHANGES TO BOARD COMMITTEES

In compliance with paragraph 6.71 of the Listings Requirements of the JSE Limited,
shareholders are advised of the following changes to the composition of the Board
committees of Boxer Retail Limited, with effect from 1 March 2026.

Ms Cindy Robertson, currently an independent non-executive director of Boxer and Chair of
the Audit, Risk and Compliance Committee ("ARCC"), has been appointed as interim Chair
of the Remuneration Committee ("RemCom"), succeeding Mr Leon Lourens.

The Board is also pleased to announce the appointment of Ms Dineo Molefe, currently an
independent non-executive director and a member of the Social and Ethics Committee
("SETC"), as a member of the Audit, Risk and Compliance Committee, with effect from 1
March 2026.

In addition, Ms Chichi Maponya, Lead Independent Non-executive Director of Boxer, Chair
of the Nominations and Governance Committee and a member of the Social and Ethics
Committee, has been appointed as a member of the RemCom, also with effect from 1 March
2026.

The Board welcomes these appointments and looks forward to the continued contribution
of Ms Robertson, Ms Molefe and Ms Maponya to the governance and oversight of the
Company.
