CHANGE TO THE BOARD AND BOARD COMMITTEES

Shareholders are advised that, due to a new business opportunity (which may give rise to potential conflicts of interest),
Ms Buyisiwe Makhunga has tendered her resignation, with immediate effect, as a Non-executive Director of the
Company. Ms Makhunga has accordingly also stepped down as Chair of the Group's Audit and Risk Committee and as
a member of the Group's Nomination and Remuneration Committee.

The board of directors of Africa Bitcoin Corporation ("Board") confirms that Ms Makhunga's resignation is not related to
any operational, financial, or governance concerns within the Company.

The Board wishes to thank Ms Makhunga for her contribution and service to the Company and its stakeholders during
her tenure.

The Board has initiated a process to appoint a suitably qualified Non-executive Director as her successor and will make
a further announcement once this process has concluded. The Board confirms that the Group's Board Committee's will
continue to operate with the remaining members, and that the Group's governance, reporting processes and oversight
structures remain fully intact.
