CHANGES TO THE FUNCTION OF DIRECTORS AND TO THE AUDIT AND RISK COMMITTEE


Shareholders and noteholders are advised that, as part of the board's ongoing refresh and succession planning process,
Dr Renosi Mokate will step down as Lead Independent Director and as a member of the audit and risk committee with
effect from the Company's next annual general meeting ("AGM"), to be held on 2 September 2026. Dr Mokate will
continue to serve as chairperson of the environmental, social and ethics committee, a member of the remuneration and
human capital committee and a member of the board.

Mr. James Formby will be appointed as Lead Independent Director ("LID") and retain his current committee memberships,
being chairperson of the remuneration and human capital committee and a member of the audit and risk committee.

The audit and risk committee will comprise Mrs Neo Dongwana as chairperson, with Mrs. Tshidi Mokgabudi and Mr. James
Formby as committee members.

The board has again considered and concluded, in line with the findings of the most recent independent board evaluation,
that all members of the audit and risk committee, including Mr James Formby (in his new capacity as LID), and all members
of the board retiring at the upcoming AGM (being Mr Nigel Payne, Mr Jon Zehner and Ms. Tshidi Mokgabudi), are
independent.
