CHANGE IN DIRECTORATE: NOTICE OF BOARD RETIREMENTS AND APPOINTMENT OF NON-EXECUTIVE DIRECTORS

In accordance with the JSE Limited Listings Requirements, the Board of Directors ("Board") of Grindrod
advises shareholders that the current Chairperson, Cheryl Carolus, and Lead Independent Director,
Nkululeko Sowazi, will be retiring from the Board at the end of Grindrod's Annual General Meeting
("AGM") to be held on 11 June 2026. The timing of their retirement has been intentionally aligned with the
conclusion of the Group's non-core disposals in line with the growth strategy and reflects a considered
and orderly leadership transition. This will enable a new generation of leaders to take Grindrod forward
to drive focused growth and the execution of the core-business strategy.

The Board extends its sincere appreciation to Cheryl and Nkululeko for their considerable and enduring
contribution to Grindrod over many years of dedicated service. Their leadership and stewardship have
played a key role in reinforcing the strength of the Group's governance foundations, navigating complex
strategic projects and positioning the Company for sustainable long-term growth.

The Board is delighted to welcome Hubert Brody, Mary Bomela, Themba Mkhwanazi and Naidene Ford-
Hoon as independent non-executive directors of the Company, with effect from 1 May 2026. These
appointments reflect the high calibre of leadership and integrity sought at Board level to further strengthen
an already effective and engaged Board. Consistent with King V's emphasis on an ethical and effective
governing body, these appointments enhance the Board's collective capacity for independent oversight,
sound governance and high-quality decision-making in support of the Company's strategy and long-term
sustainable value creation.

Hubert Brody (CA(SA), B. Accounting (Hons))
Hubert is currently serving on the boards of Nedbank Group Limited and Nedbank Limited as Lead
Independent Director and has chaired and/or served on various board committees which include the
Director's Affairs, Remuneration, Audit, IT, and Risk and Capital committees. He has served as a non-
executive director on the boards of Woolworths Holdings Limited as chairperson, Imperial Bank as
chairperson, Imperial Logistics International as chairperson, Mix Telematics and Comair. These
directorships and his tenure as Chief Executive Officer ("CEO") of Imperial Holdings Limited from 2007
until 2014 have provided deep insight into logistics, supply chains, retail, financial services and large-
scale operational management.

Mary Bomela (CA(SA), BCom (Hons), MBA)
Mary has served as CEO of Mineworkers Investment Company and as non-executive director on the
board of Metrofile Holdings Limited (as deputy-chairperson). She currently serves on the boards of Kumba
Iron Ore Limited ("Kumba") (as Lead Independent Director and chairperson of the Strategy and
Investment Committee) and Nedbank Group Limited (serving on the Group Audit; Transformation, Social
and Ethics; Credit and Large Exposure Approval committees). Previous board roles include FirstRand
Group, Ascendis Health, Primedia, Rand Mutual Assurance, Sishen Iron Ore Company and BP Southern
Africa. This breadth of experience enables Mary to contribute meaningfully to Grindrod's strategic
direction and enhances the Board's collective capability to support sustainable value creation in a
dynamic operating environment.

Themba Mkhwanazi (B.Eng (Chemical Engineering) (Hons))
Themba is an experienced executive and non-executive director. His senior executive career include roles
as CEO of Anglo Coal South Africa, Kumba and CEO of Bulk Commodities and Regional Director Africa
and Australia, member of the Global Executive Leadership team, at Anglo-American plc and senior
leadership positions at Rio Tinto and Richards Bay Minerals. Themba has also served on the Boards of
Kumba, Anglo American Platinum, Anglo American South Africa, Anglo American Foundation, Mining 360
Dialogues and the Minerals Council of South Africa. He currently serves as an independent non-
executive director of Aspen Pharmacare Holdings Limited (and member on Aspen's Remuneration and
Nomination committees). He has had extensive exposure to global large-scale multi-geographical
operations, bulk and mining logistics, capital investment, multi-jurisdictional sustainability and stakeholder
engagement. Themba's global operational experience enables him to contribute meaningfully to the
Board's oversight of strategy execution.

Naidene Ford-Hoon (CA(SA), BCom and B.Compt (Hons))
Naidene has served as Group Chief Financial Officer of the South African Reserve Bank and of Alexander
Forbes Group Holdings Limited and has held senior finance leadership positions at various companies
throughout her career. She has served as an independent non-executive director on the board of Telkom
SA SOC Limited, serving on the Telkom Audit and Risk committees. Naidene currently serves as an
independent non-executive director on the boards of Capitec Bank Holdings Limited (and chairperson of
Capitec's Audit Committee and member of the Risk Committee) and Aveng Limited, and as Lead
Independent Director of SA Corporate Real Estate Limited (chairperson of the Audit and Risk committee).
Naidene also serves on the Independent Regulatory Board for Auditors (IRBA) as deputy chairperson.
This wide range of experience enables Naidene to make a strong contribution to Grindrod's financial and
risk oversight, prudent capital allocation and regulatory compliance.

The Board looks forward to their valuable contribution and to the fresh perspectives they will bring in
supporting the continued execution of Grindrod's strategy.

The Board confirms that an independent Fit and Proper assessment was conducted on the appointees,
and that the Board is satisfied with the outcome of these assessments. The Group also confirms that the
appointees have affirmed their integrity in terms of the information contained in the director's declaration.

These appointments will be put to shareholders for election at the upcoming AGM to be held on
11 June 2026 and will be included in the Notice of AGM being circulated on or about 30 April 2026. Subject
to the outcome of the AGM and the subsequent election by the Board, it is the intention of the Board to
appoint Raymond Ndlovu as Chairperson and Hubert Brody as Lead Independent Director in due course.
Shareholders are advised that the formal election of the Chairperson and Lead Independent Director will
take place in line with Grindrod's memorandum of incorporation at the first meeting of the Board following
the AGM, and a further announcement will be made in due course to confirm the outcome thereof.
