CHANGES TO DIRECTORATE

In compliance with the JSE Limited Listings Requirements, RMH
shareholders are advised of the following changes to the RMH Board
of Directors, effective 7 July 2020.

RESIGNATION OF NON-EXECUTIVE DIRECTORS

Following the completion of the unbundling by RMH of its
shareholding in FirstRand Limited, the following non-executive
directors have decided to step down from the RMH board:

Mr   Jannie Durand(Chairman)
Mr   Johan Burger
Mr   Laurie Dippenaar
Mr   Paul Harris
Mr   Ralph Mupita
Mr   David Frankel (alternate)
Mr   Francois Knoetze (alternate)

CHANGE IN STATUS OF DIRECTORS

Ms Sonja De Bruyn has been appointed as interim Chairman of the
board until the annual general meeting in December 2020 with Mr
Murphy Morobe remaining as lead independent director.

Mr Udo Lucht, currently an alternate director to Ms Albertinah
Kekana, will replace Mr Obakeng Phetwe as director and Mr Phetwe
will become the alternate director to Ms Kekana.

Subsequent to these changes the board will consist of:
Mr Herman Bosman
Mr Peter Cooper
Ms Sonja De Bruyn (Chairman)
Ms Albertinah Kekana
Mr Udo Lucht
Ms Mamongae Mahlare
Mr Murphy Morobe (Lead independent)
Mr James Teeger
Mr Obakeng Phetwe(alternate)

No other changes to board subcommittees are currently envisaged.

FUTURE CHANGES

Further to this announcement, Mr Peter Cooper confirmed that he
would not be available for re-election at the upcoming annual
general meeting in December 2020.

IN CLOSING

RMH would like to thank all these directors for the valuable
contributions made whilst serving on the board of RMH. A special
word of gratitude is extended to two of the founders of RMH, Mr
Laurie Dippenaar and Mr Paul Harris who have served on the board
for 32 years.

These changes will not impact on the constitution of the board of
RMH’s sister company, Rand Merchant Investment Holdings Limited.
