CHANGES TO THE BOARD AND    WITHDRAWAL   OF   RESOLUTIONS   AT   ANNUAL
GENERAL MEETING ("AGM")

In terms of paragraph 3.59 of the JSE Limited Listings
Requirements the Board of Directors ("the Board") hereby informs
shareholders that Mr. AJ Phillips has resigned as a director of
the Company with immediate effect, and accordingly as the Chairman
of the Board, member of the Remuneration Committee and the
Chairman of the Nomination Committee, having served in these
positions since Mpact listed in 2011.

Mr. PCS Luthuli has been appointed as the Chairman of the Board
with immediate effect in line with the Board succession plan.

Accordingly, ordinary resolution 1.2 recommending the re-election
of Mr. Phillips as a director, and ordinary resolution 2.2
recommending Mr. PCS Luthuli as a member of the Audit and Risk
Committee have been withdrawn from the Notice of AGM scheduled to
take place on 5 June 2025. Mr. Saleh Mayet will be appointed as
the Chairman of the Audit and Risk Committee, subject to the
approval of his appointment as a director and member of the Audit
and Risk Committee at the upcoming AGM.

The Board would like to thank Mr. Phillips for his invaluable
contribution and wishes him well in his retirement.
