SALIENT DATES AND TIMES FOR THE DISTRIBUTION
Unless otherwise defined, all capitalised terms have the same meanings as defined in the circular issued by
the Company, dated 16 November 2020 (“Circular”).
Shareholders are referred to the announcement published on SENS on 28 December 2020, regarding the results
of the General Meeting, in which it was noted that the special resolution to approve the Distribution and the
delisting of Montauk was passed by the requisite majority of votes of Shareholders present in person or
represented by proxy at the General Meeting. Subject to the fulfilment of the remaining Distribution Conditions,
the Company will proceed to implement the Distribution on the dates and times set out below.
Shareholders are furthermore informed that the deadline provided for administrative reasons for Shareholders
to submit the relevant required Forms of Declarations and Undertakings to Montauk has been extended to 11
January 2021. Shareholders are requested to submit the required Forms of Declaration and
Undertakings as soon as possible to assist with the administration of the Distribution. Shareholders remain
able to submit the Forms of Declaration and Undertakings at any time prior to the Distribution Record Date.
SHAREHOLDERS ARE REMINDED THAT THE BENEFICIAL OWNERS OF SHARES ARE REQUIRED TO
DULY COMPLETE AND SIGN THE REQUIRED FORM OF DECLARATION AND UNDERTAKING (AS
APPLICABLE), ATTACHED TO THE CIRCULAR, AND SUBMIT SUCH COMPLETED AND SIGNED FORM
OF DECLARATION AND UNDERTAKING BY THE BENEFICIAL OWNER TO MONTAUK BEFORE 23:59
ON MONDAY, 11 JANUARY 2021. IF THESE FORMS ARE NOT PROVIDED ON A TIMEOUS BASIS
(REFER TO PARAGRAPH 4.8.3.3.1 OF THE CIRCULAR), THE NUMBER OF MONTAUK RENEWABLES
TAX WITHHOLDING SHARES TO BE WITHHELD FROM SUCH SHAREHOLDER’S ALLOCATION WILL
BE DETERMINED AT THE FULL RATE OF DIVIDENDS TAX WHICH AT THE LAST PRACTICABLE DATE
IS 20%.

Distribution completion date on which Shareholders will have their accounts Tue, 26 January
at their CSDP or broker updated to reflect the Distribution Shares
Expected termination of the listing of the Montauk at commencement of trade Wed, 27 January
on the JSE

2. The above dates and times are subject to amendment at the discretion of Montauk. Any such amendment will be released on SENS.
