CHANGES TO THE BOARD OF DIRECTORS AND BOARD COMMITTEES
Changes to the Board
In compliance with paragraph 3.59 of the JSE Listings Requirements, shareholders are advised of the appointment of
Eugene Msawenkosi Zungu as an independent non – executive director to the board of directors of the Company (the
"Board") with effect from 26 June 2025.
Eugene is a chartered accountant with over 30 years of post-articles experience across multiple industries, including
manufacturing, banking, logistics, and property development. He has held senior roles, including CFO at New Housing
Company (NewHco) and senior partner on listed and complex entities at Deloitte, and gained extensive expertise in
financial management, audit and strategy. His leadership was further strengthened through his roles at the Auditor-
General of South Africa. He previously served in several governance roles, including as an independent non-executive
director and audit & risk committee chair in private companies and public institutions.
The Board welcomes Eugene and looks forward to working with him.
Changes to Board Committees
Following Eugene Zungu's appointment, the Audit Committee and the Risk and Compliance Committee will be
constituted as follows with effect from 26 June 2025:
