CHANGES TO THE BOARD AND BOARD COMMITTEES

Africa Bitcoin Corporation is pleased to advise of the following appointments to the board of directors of the Company
("Board") and sub-committees of the Board, with effect from 16 January 2026:

-   Ms Buyisiwe Makhunga, as a Non-executive Director and as Chair of the Group's Audit and Risk Committee and
    as a member of the Group's Nomination and Remuneration Committee; and
-   Ms Snowy Masakale, as a Non-executive Director and as a member of the Group's Audit and Risk Committee and
    Nomination and Remuneration Committee.

Buyisiwe is an experienced investment executive and Non-executive Director with over 20 years' experience in
investment banking, private equity and capital markets. She is a Chartered Accountant (SA) with extensive expertise in
financial reporting, risk management, governance and capital allocation. Her experience includes advising on and
overseeing complex listed and unlisted transactions, balance sheet structuring and regulatory compliance. She has
served as Chair of Audit and Risk Committees and as a member of Remuneration Committees. Her qualifications include
a BCom (Accounting), Higher Diploma in Accounting, CA(SA) designation and completion of the Oxford University
African Leadership Development Programme.

Snowy is currently a Non-executive Director of Altvest Credit Opportunities Fund Limited, a subsidiary of Africa Bitcoin
Corporation. Her appointment to the Board represents a transition from the subsidiary board to the holding company
board. Ms Masakale will continue to serve as a non-executive director of Altvest Credit Opportunities Fund Limited.

The Board welcomes Buyisiwe and Snowy and looks forward to their contributions to the Group.
