COMPLETION OF THE DISPOSALS OF SANLAM UK’S 100% SHAREHOLDING IN SANLAM
LIFE AND PENSIONS UK LIMITED, SANLAM PRIVATE INVESTMENTS (UK) LIMITED AND
SANLAM WEALTH PLANNING HOLDINGS UK LIMITED

Shareholders are referred to the respective announcements released by Sanlam on the Stock
Exchange News Service of the JSE Limited on 13 September 2021 and 20 September 2021
regarding the disposal by Sanlam UK of its 100% shareholding in Sanlam Life and Pensions UK
Limited (including its subsidiaries); and Sanlam Private Investments (UK) Limited and Sanlam
Wealth Planning Holdings UK Limited (including its subsidiaries) respectively (the “Transactions”).

The board of directors of Sanlam wish to advise shareholders that the conditions precedent to the
Transactions are fulfilled and the closing processes complete. The respective effective dates of the
Transactions are 27 April 2022 for the sale of Sanlam Life and Pensions UK Limited and 6 May 2022
for the sale of Sanlam Private Investments (UK) Limited and Sanlam Wealth Planning Holdings UK
Limited. The Transactions were completed for an aggregate net consideration of GBP153 million
after transaction costs, in line with Sanlam’s strategy to simplify its UK operations and reallocate
capital to Africa and other selected emerging markets.
